Web audits terms and conditions

These are the terms and conditions of our web audits service.

This agreement is between us, Avidmode Ltd., and any organisation or individual who purchases our web audit service. Any questions or concerns can be directed at hello@avidmode.com. You can also call us directly on +44 1628 638 697.

Acceptance of terms

These terms apply to all work we do as part of our web audit service. If you do not agree to one or more parts of this document, we cannot provide you with the service. This agreement is a legally binding contract between you and us.

From time to time, some parts of these terms may change. If and when that happens, any existing agreements will remain under the previous version. The new terms will only apply to new purchases.

Payment

In exchange for our web audits service, you will pay us the sum of £1,500 (“Standard”), £2,000 (“Personalised”) or £4,000 (“Ecommerce”), in pounds sterling, depending on the level of service chosen by the you. All three prices include VAT, where applicable.

Details of service

All three levels of our web audits involve the production of a written report containing the following.

  1. Detailed analysis of all general website aspects, including but not limited to user experience, content quality and targeting, performance and loading speed, markup quality, content structure and SEO.
  2. Analysis of four key page types; the front page, a landing page, a product (or service) page and a blog post.
  3. Identification of potential issues, graded by our assessment of severity.
  4. Actionable advice on how to solve listed issues and make improvements to the audited website.
  5. Our overall conclusion of the audited website’s positioning and effectiveness.

In the case of “Personalised” and “Ecommerce” web audit types, the report will also contain an analysis of your wider web presence, including social media, local presence and inbound links.

Finally, the “Ecommerce” web audit type report will additionally contain an analysis of your sales funnel, including your list building, email marketing, offers and checkout process.

We will require 4 weeks of access to your website analytics.

“Standard”

Our “Standard” web audit type will be delivered within 14 business days of purchase.

“Personalised” and “Ecommerce”

Our “Personalised” and “Ecommerce” web audit types will commence with a one-hour consultation call to discuss and plan out exactly what you want the report to focus on. The report will be delivered within 6 weeks of purchase.

Revisions and feedback

All reports are delivered and must be accepted “as is”. In the case of the “Personalised” and “Ecommerce” audit types, we will schedule a one-hour Q&A call with you to discuss the outcome of the report.

For all web audits, we provide three weeks of email Q&A and support, starting from the next working day after delivery of the report.

No guarantee of results

Our web audits service provides actionable information but it is ultimately up to you to implement any changes. As such, we cannot guarantee any return on investment resulting from the service.

Report ownership and reproduction

We retain ownership and copyright of all reports created as part of our web audits service. You are at liberty to share the report within your organisation as needed. However, in order to maintain the integrity of our service, sharing the report outside your organisation must be done only as a PDF download from our own domain (avidmode.com). Please contact us to arrange this.

Publicity

By purchasing our web audits service, you grant us the non-exclusive and irrevocable right to mention the following information as part of our own marketing efforts: your company name and website, the service we provided and any impact it had on your business.

Termination

Once the service fee has been paid, neither you nor we can terminate this agreement, except in the case of material breach of it by you and only if you fail to cure the breach within 30 days of notice.

Limitations

We provide our web audits service as a non-exclusive, independent contractor. No rights or obligations are granted except for those explicitly mentioned in this document.

Warranty

Whilst we endeavour to ensure that the information in our reports is correct, we do not warrant its completeness or accuracy, nor do we commit to ensure that the report remains available and up-to-date. All reports are provided only on an “as is” basis.

To the maximum extent permitted by applicable laws, we exclude all representations, warranties and conditions relating to the report and the use of it.

Limitations of liability

Nothing in these terms will exclude or limit our liability for fraud, death or personal injury caused by our negligence or any other liability which cannot be excluded or limited under applicable laws. Subject to this, our liability to you in relation to our web audits service will be limited as follows.

  1. We will not be liable for any loss or damage, whether direct, indirect, consequential or special, or any damage arising out of any event beyond our reasonable control.
  2. We will not be liable for any loss of revenue, business, reputation, data or information.
  3. Our maximum liability in relation to any event will be limited to £50.

Indemnity

You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these terms of use, or arising out of any claim that you have breached.

Assignment

We may transfer, sub-contract, or otherwise deal with our rights and/or obligations under this agreement without notifying you or obtaining your consent.

You may not transfer, sub-contract, or otherwise deal with your rights and/or obligations under this agreement.

Severability

If a provision of this agreement is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions will continue in effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Exclusion of third-party rights

This agreement is for the benefit of you and us, and is not intended to benefit any third party or be enforceable by any third party. The exercise of our and your rights in relation to this agreement is not subject to the consent of any third party.

Entire agreement

This agreement constitutes the entire agreement between you and us in relation to your web audit, and supersedes all previous discussions, understandings and negotiations between us, if any.

Headings for each paragraph or section are provided for convenience only. They won’t be given any legal effect in interpreting or limiting the scope of the agreement.

Law and jurisdiction

This agreement will be governed by and construed in accordance with English law, and any disputes relating to this agreement will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
